These Terms and Conditions ("Terms") govern the contractual relationship between Stailer Corporation, a company incorporated in Delaware, USA, with its registered office at 1111B S Governors Ave, STE 23978, Dover, DE 19904 ("Stailer," "we," "us," or "our") and you, a professional in the beauty industry ("Partner," "you," or "your"). By creating a business account or using the Stailer platform ("Platform"), you confirm that you have read, understood, and accepted these Terms in full.

1. Definitions

  • "Platform" — The Stailer web application, mobile applications, all sub-domains, and associated APIs operated by Stailer Corporation.
  • "Partner" — An authorized individual or legal entity (e.g., salon, stylist, barber, makeup artist) who creates a business account and uses the Platform for commercial purposes.
  • "End User" or "Client" — An individual who uses the Platform to discover, browse, or book services offered by Partners.
  • "Subscription" — The recurring fee payable by the Partner for access to the Platform and its features.
  • "Credits" — Internal virtual currency issued by the Platform, used for premium services (SMS notifications, AI-powered calls, Look Simulator sessions, etc.).
  • "Third-Party Service" — Any service, content, application, or payment processor operated by an entity other than Stailer (e.g., Stripe, Google, Apple, Meta).

2. Scope of Services

Stailer provides Partners with a SaaS platform for salon management, including appointment scheduling, client management, AI-powered tools (look simulation, automated calling, marketing content generation), marketplace listing for client acquisition, and analytics dashboards.

In addition to the B2B SaaS platform (stailer.app), Stailer Corporation operates the Romanian consumer marketplace at stailer.ro, which enables end users in Romania to discover and book beauty services offered by Partners. The consumer marketplace is subject to its own consumer-facing terms and conditions published at stailer.ro. All invoicing for services provided through stailer.ro is processed by Stailer Corporation from the United States via Stripe.

Stailer does not provide beauty services directly. Partners are solely responsible for the quality, safety, and legality of the services they offer to Clients through the Platform.

3. Account Registration

  1. To create a business account, you must provide accurate and complete information, including your legal business name, tax identification number, business address, and applicable professional licenses.
  2. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  3. Stailer reserves the right to refuse, suspend, or terminate any account that does not meet our quality, compliance, or reputational standards.

4. Subscription and Payments

  1. Access to the Platform requires a paid subscription. Current pricing is published on the Platform's pricing page and may vary by plan and region.
  2. Subscription fees are charged automatically on a recurring monthly cycle from the date of activation. All fees are exclusive of applicable taxes unless stated otherwise.
  3. With each paid cycle, your account may receive a credit allocation as specified in your plan. Credits expire 180 days from the date of issuance.
  4. Additional credits may be purchased through the Platform. Purchases made via iOS or Android apps may include a platform surcharge to cover app store commissions.
  5. If payment fails, Stailer will attempt to collect the outstanding amount. After a 3-day grace period, your account may be suspended until the balance is settled.
  6. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing cycle.
  7. All payments — including subscriptions on stailer.app and services on the Romanian consumer marketplace stailer.ro — are invoiced by Stailer Corporation from the United States and processed via Stripe. Invoices and receipts are issued by Stailer Corporation (Dover, DE, USA).

5. Marketplace Commission and Visibility

  1. Partners may set a dynamic commission rate (0–100%) on bookings acquired through the Stailer marketplace.
  2. The Platform's ranking algorithm considers factors including: average client rating, no-show rate, response time, calendar accuracy, credit balance, and commission rate.
  3. Setting a low commission or maintaining insufficient credit balance may reduce your visibility in marketplace search results.

6. Partner Obligations

  • Pay all fees and charges when due.
  • Use the Platform only for its intended purpose and refrain from reverse engineering, scraping, automated data extraction, or any form of misuse.
  • Keep your calendar accurate and up to date, including appointments from external sources, and avoid unjustified cancellations.
  • Hold all legally required authorizations, licenses, and insurance for the services you offer, and comply with all applicable health, safety, labor, and data protection regulations.
  • Refrain from publishing content that is defamatory, discriminatory, misleading, or that infringes the intellectual property rights of any third party.

7. Stailer Obligations and SLA

  • Stailer targets an annual Platform uptime of 99.5%, excluding scheduled maintenance windows communicated at least 48 hours in advance.
  • Support requests are acknowledged within 24 hours on business days.
  • Stailer does not guarantee any minimum volume of client bookings, revenue, or business outcomes.

8. Intellectual Property

  1. All trademarks, logos, user interfaces, source code, databases, and design elements of the Platform are the exclusive property of Stailer Corporation and are protected under applicable U.S. and international intellectual property laws.
  2. Stailer grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for the purposes described in these Terms.
  3. Reproduction, redistribution, decompilation, reverse engineering, or modification of any part of the Platform without prior written consent from Stailer is strictly prohibited.

9. Acceptable Use and Security

You agree not to use the Platform for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Platform. You must not attempt to gain unauthorized access to any part of the Platform, other accounts, or systems connected to the Platform.

  • Minors: The Platform is intended for users aged 18 and older. If local law permits users aged 16–17, they must have verifiable parental or guardian consent.
  • Security: You must promptly notify Stailer of any unauthorized use of your account or any suspected security breach at security@stailer.app.

10. Third-Party Services

The Platform integrates with third-party services (payment processors, cloud infrastructure, communication APIs, AI models). Stailer is not responsible for the availability, accuracy, or practices of these third-party services. Your use of such services is governed by their respective terms and privacy policies.

11. Communications

By creating an account, you consent to receive transactional and operational communications from Stailer (e.g., billing confirmations, service alerts, security notifications). These communications are necessary for the performance of the contract and cannot be opted out of while your account remains active.

Marketing communications (e.g., promotional offers, product updates, newsletters) are sent only with your separate, explicit consent. You may withdraw marketing consent at any time through your account settings or by using the unsubscribe link in any marketing message.

12. Data Protection

Stailer processes personal data in accordance with its Privacy Policy, available at stailer.app/privacy. For Partners who act as data controllers for their own client data, a Data Processing Agreement (DPA) is available upon request at legal@stailer.app.

Payment data for both stailer.app and stailer.ro is processed by Stripe, Inc. (USA) on behalf of Stailer Corporation. Data transfers to the United States are governed by appropriate safeguards as described in our Privacy Policy.

13. Limitation of Liability

  1. To the maximum extent permitted by applicable law, Stailer's total aggregate liability arising out of or in connection with these Terms shall not exceed the amount of the single most recent monthly subscription fee paid by you to Stailer at the time the claim arises.
  2. Stailer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunity, even if advised of the possibility of such damages.
  3. Nothing in these Terms excludes or limits liability for fraud, gross negligence, death, or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.

14. Platform Development and Iterative Improvements

The Platform is under continuous development. Stailer regularly releases updates, improvements, new features, and modifications to enhance functionality, security, and user experience. These changes may include additions, modifications, or removal of features.

Stailer will make reasonable efforts to communicate material changes in advance. Minor updates, bug fixes, and security patches may be deployed without prior notice. Stailer does not guarantee that any specific feature will remain available indefinitely or that the Platform will remain unchanged.

15. Force Majeure and Operational Exceptions

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, epidemics, government actions or sanctions, labor disputes, power failures, internet or telecommunications outages, cyberattacks, third-party service disruptions, or failures of upstream infrastructure providers.

In the event of a force majeure situation, the affected party shall promptly notify the other party and make reasonable efforts to mitigate the impact. If a force majeure event persists for more than 60 consecutive days, either party may terminate these Terms upon written notice without liability.

Scheduled or emergency maintenance, platform migrations, and infrastructure upgrades that may cause temporary service interruptions are considered operational necessities and not breaches of the SLA, provided that Stailer uses reasonable efforts to minimize disruption and communicates scheduled maintenance at least 48 hours in advance.

16. Term, Suspension, and Termination

  1. These Terms remain in effect for the duration of your active account and subscription.
  2. You may terminate your account at any time through the Platform settings. Termination takes effect at the end of the current billing cycle.
  3. Stailer may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required by law.
  4. Upon termination, your access to the Platform ceases. Stailer may retain certain data as required by applicable law or legitimate business purposes, as described in the Privacy Policy.

17. Marketplace Transparency

In accordance with applicable EU marketplace transparency requirements (including Directive (EU) 2019/2161, the "Omnibus Directive"), Stailer provides the following disclosures to consumers who browse or book services through the Platform's marketplace.

  • Trader Status: All Partners listed on the Stailer marketplace are professionals or businesses operating in the beauty industry. The Platform does not list services from private individuals acting outside a trade, business, or profession.
  • Ranking Parameters: Search results and Partner listings on the marketplace are ranked based on the following main parameters, listed in order of general significance: (1) average client rating, (2) calendar accuracy and real-time availability, (3) response time to booking requests, (4) no-show and cancellation rate (lower is better), (5) commission rate set by the Partner, and (6) credit balance. No Partner can pay to achieve a higher organic ranking position. Partners who set a higher commission rate may receive increased visibility, and this is disclosed here as a commercial factor.
  • Reviews: Client reviews displayed on Partner profiles are from verified bookings processed through the Platform. Only clients who completed a booking can submit a review. Stailer does not edit or selectively publish reviews, but reserves the right to remove reviews that violate applicable content guidelines (e.g., defamatory, discriminatory, or fraudulent content).
  • Pricing: Service prices displayed on the marketplace are set exclusively by the Partner. Stailer does not influence or control service pricing. The displayed price is the final price payable by the client for the service, exclusive of any optional tips.

18. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict-of-law principles.

Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts located in New Castle County, Delaware, USA.

For Partners located in the European Union, nothing in this clause affects your mandatory consumer protection rights under the laws of your country of residence, to the extent applicable.

19. General Provisions

  1. Entire Agreement: These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and Stailer.
  2. Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  3. Assignment: You may not assign your rights or obligations under these Terms without Stailer's prior written consent. Stailer may assign its rights and obligations without restriction.
  4. Waiver: Failure by Stailer to enforce any provision shall not constitute a waiver of that provision.
  5. Amendments: Stailer may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
